End User License Agreement

1. Agreement Acceptance

MVPeeps is licensed, not sold, to you by Full Tilt Industries LLC, an Arizona limited liability company (the "Licensor"), for use only under this End User License Agreement (the "License").

By downloading, installing, accessing, or using the MVPeeps App, including updates, you acknowledge that you have read this License and agree to be bound by it.

Apple, Google, and other app distribution platforms are not parties to this License unless expressly stated by their own terms.

2. Scope of License

2.1 Grant of License

The Licensor grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use MVPeeps on compatible devices you own or control, solely for lawful personal, team, family, coaching, club, school, or organization purposes permitted by this License and our Terms of Use.

2.2 Restrictions

You may not:

• Copy, modify, translate, adapt, or create derivative works of the App
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code
• Rent, lease, lend, sell, sublicense, distribute, or transfer the App
• Remove proprietary notices, labels, or branding
• Use the App to build a competing product or service
• Use the App for unlawful, harmful, abusive, or unauthorized data access purposes

2.3 Updates

The Licensor may provide updates that modify, improve, remove, or add features. This License applies to all updates unless a separate license is provided.

3. App Store and Platform Terms

Your use of MVPeeps may also be governed by the rules of the platform from which you downloaded the App, including Apple App Store, Google Play, TestFlight, internal testing tracks, or similar distribution services.

If platform terms conflict with this License regarding app distribution, payments, refunds, or platform account rules, the applicable platform terms may control for those matters.

4. Licensor Responsibility

Full Tilt Industries LLC, not Apple, Google, or any app store provider, is solely responsible for the App, its content, maintenance, support, warranty disclaimers, and claims relating to the App, except as otherwise required by applicable law or platform terms.

5. Ownership and Intellectual Property

The Licensor and its licensors retain all right, title, and interest in and to the App, including software, source code, object code, workflows, designs, trademarks, service marks, logos, graphics, text, interfaces, data structures, and documentation.

No ownership rights are transferred to you. You receive only the limited license described in this License.

5.1 User Content

You retain responsibility for team, athlete, event, message, media, feedback, and other content you submit. You grant the Licensor a limited license to host, store, process, transmit, display, and use that content to provide, secure, support, and improve MVPeeps.

6. Privacy and Data

Your use of MVPeeps is subject to our Privacy Policy, which explains how we collect, use, share, and safeguard information. You are responsible for having appropriate rights and permissions before submitting athlete, child, team, or organization data to the App.

7. Third-Party Services

MVPeeps may depend on third-party services for authentication, cloud database and storage, messaging, maps, app distribution, notifications, email, SMS, payments, analytics, performance monitoring, and hosting.

The Licensor is not responsible for outages, delays, errors, data loss, or policy changes caused by third-party providers, including Firebase, Google Cloud, Google Maps, Twilio, SendGrid, Apple, Google, payment processors, or similar providers.

8. Warranty Disclaimer

The App is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. The Licensor disclaims all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, compatibility, and uninterrupted or error-free operation.

MVPeeps is not a substitute for professional medical, legal, safeguarding, emergency, or certified coaching advice. Teams, organizations, coaches, parents, and guardians remain responsible for athlete safety, supervision, and compliance with applicable rules and laws.

9. Limitation of Liability

To the maximum extent permitted by law, the Licensor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of data, business interruption, reputational harm, or team/organization disruption.

The Licensor's total liability under this License shall not exceed the amounts you paid directly to the Licensor for the App during the 12 months before the claim, or $100 if you paid nothing directly to the Licensor.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Licensor and its officers, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses arising from your use of the App, your violation of this License or our Terms, your User Content, or your misuse of team, athlete, child, or organization data.

11. Termination

This License remains effective until terminated. You may terminate it by uninstalling the App and ceasing use. The Licensor may terminate this License or suspend access if you violate this License, misuse the App, create security risk, fail to pay applicable fees, or violate applicable law.

Upon termination, your right to use the App ends immediately. Sections related to ownership, privacy, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution survive termination.

12. Governing Law and Dispute Resolution

This License is governed by the laws of the State of Arizona, without regard to conflict of law principles. Any legal proceedings relating to this License shall be brought in the state or federal courts located in Maricopa County, Arizona, unless applicable law requires otherwise.

Before filing a formal claim, both parties agree to attempt in good faith to resolve disputes for at least 30 days after written notice.

13. Modifications

The Licensor may update this License from time to time. Changes are effective when posted in the App or on our website. Continued use of MVPeeps after changes become effective means you accept the updated License.

14. Severability

If any provision of this License is found invalid or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

This License, together with the Terms of Use and Privacy Policy, forms the entire agreement between you and the Licensor regarding your use of the App and supersedes prior agreements about the same subject matter.

17. Acknowledgment

By downloading, installing, accessing, or using MVPeeps, you acknowledge that you have read, understood, and agree to this End User License Agreement.
